Terms of sale and use (CGV/CGU)

Terms applying to use of the website and subscription to CookieFort services.

Legal notice and scope of application

These General Terms of Sale and Use (hereinafter "Terms") apply to the website cookiefort.com and to the CookieFort SaaS platform provided by COOKIEFORT SAS, a simplified joint-stock company with share capital of €5,000, registered with the Paris Trade and Companies Register under number 107 807 554, whose registered office is located at 5 rue de la Terrasse, 75017 Paris, France (contact: cmp@cookiefort.com).

CookieFort services are intended exclusively for business customers (B2B). By creating an account, subscribing to a plan or using the platform, the Client unconditionally accepts these Terms, the Data Processing Agreement (DPA) and the Privacy Policy.

Description of services and access

CookieFort provides a Consent Management Platform (CMP) enabling compliance with the GDPR and CNIL guidelines, proof of consent, and integration with Google Consent Mode v2, Google Tag Manager (GTM) and Google Analytics 4 (GA4).

The service is accessible 24/7, subject to scheduled maintenance, updates and circumstances beyond CookieFort's reasonable control.

Pricing plans, billing and payment

3.1 Plans and pricing

The plans and quotas in force are published on cookiefort.com/pricing. Prices are stated in euros excluding VAT; applicable VAT is added at checkout according to the Client's tax status.

3.2 Quota overage

If the Client exceeds the visit quota included in their plan, CookieFort may, after email notification, automatically upgrade the subscription to the next tier or apply overage billing in accordance with the pricing page.

3.3 Certified Agency Partner programme

The Agency Partner programme offers reduced pricing (approximately 25% off public rates). Applications are submitted via the form on cookiefort.com/agency. CookieFort reserves the right to audit applications and refuse certification without having to justify its decision.

3.4 Payment method

Payments are processed by Stripe. Subscriptions are billed monthly or annually in advance, depending on the option selected at checkout.

3.5 Late payment

In the event of late payment, overdue amounts bear interest at the legal rate applied by the European Central Bank plus 10 percentage points, as well as a flat recovery fee of €40 pursuant to Article D.441-5 of the French Commercial Code. After a 7-day formal notice sent by email, CookieFort may suspend access to the CMP until full payment is received.

Term and termination

Subscriptions are concluded for an indefinite period, with no minimum commitment, except for annual plans billed for a full year. They renew tacitly at the end of each billing period unless cancelled by the Client from the account administration area or by email to cmp@cookiefort.com. Termination takes effect at the end of the current billing period. No pro-rata refund is due for the unused portion of a period already invoiced.

Client obligations

The Client acts as data controller for visitors to its websites. The Client is responsible for configuring tags and scripts, verifying the legal texts displayed on the consent banner, and ensuring lawful use of the service. Any fraudulent use, circumvention of quotas or alteration of the installation script is prohibited.

Limitation of CookieFort liability

CookieFort provides a technical compliance tool and does not provide legal advice. CookieFort shall not be liable for CNIL fines or regulatory penalties resulting from incorrect configuration, incomplete legal texts or unlawful processing by the Client.

Availability relies in part on hosting by Infomaniak; force majeure and infrastructure incidents beyond CookieFort's control are excluded from liability. In any event, CookieFort's aggregate liability is capped at the amounts actually paid by the Client over the last twelve (12) months.

Intellectual property

The CookieFort platform, documentation, trademarks and associated content are the exclusive property of COOKIEFORT SAS. The Client receives a personal, non-exclusive, non-transferable, time-limited licence to use the service for the duration of the subscription, strictly for its own professional needs.

Personal data

Processing of personal data is governed by the Privacy Policy and the DPA. Data is hosted in the European Union and Switzerland by Infomaniak, without transfer to providers subject to the US Cloud Act or FISA Section 702.

Amendments

CookieFort may amend these Terms. The Client will be notified at least 30 days in advance by email and/or via a warning in the account administration area. Continued use of the service after the effective date constitutes acceptance of the updated Terms.

Governing law and jurisdiction

These Terms are governed by French law. Any dispute relating to their interpretation or performance shall fall within the exclusive jurisdiction of the courts of Paris.
